Terms of Use

1. Acceptance of Terms

By accessing or using the Diada application and website (the “Service”), operated by Grotek, Inc. (“Diada,” “we,” “us”), you agree to be bound by these Terms of Use. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 16 years old to use Diada. By using the Service, you represent that you meet this age requirement.

3. Account Registration

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the security of your account credentials.
  • You are responsible for all activities that occur under your account.
  • Notify us immediately of any unauthorized use of your account.

4. Voice Cloning & Consent

  • You may only create AI voice clones of individuals who have given their explicit, informed consent through the Diada app.
  • You may not create voice clones of individuals without their knowledge or consent.
  • You may not use voice clones for impersonation, fraud, harassment, or any unlawful purpose.
  • Voice owners may revoke consent and request deletion of their voice clone at any time.

5. Acceptable Use

You agree not to:

  • Use the Service for any illegal, harmful, or abusive purpose.
  • Harass, threaten, or intimidate other users or any third party.
  • Attempt to reverse-engineer, decompile, or extract the AI models or algorithms.
  • Create or distribute content that is defamatory, obscene, or violates the rights of others.
  • Use the Service to generate misleading or deceptive content.
  • Circumvent or interfere with any security features.

6. Subscriptions & Payments

  • Diada offers free and paid subscription plans as described on the pricing page.
  • Paid subscriptions are billed on a recurring monthly basis through the Apple App Store or Google Play Store.
  • You may cancel your subscription at any time through your app store account settings.
  • Refunds are handled according to the policies of the respective app store.
  • We reserve the right to change pricing with 30 days' prior notice.

7. Intellectual Property

The Service, including its design, text, graphics, logos, icons, software, and AI models, is the property of Grotek, Inc. and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.

8. AI-Generated Content Disclaimer

Diada uses artificial intelligence to generate voice responses, coaching advice, and messages. AI-generated content:

  • Is not a substitute for professional therapy or counseling.
  • May not always be accurate, appropriate, or reflect the real person's actual views.
  • Should not be relied upon for medical, legal, or financial decisions.

If you are in crisis or experiencing a mental health emergency, please contact your local emergency services or a crisis hotline immediately.

9. Limitation of Liability

To the maximum extent permitted by law, Grotek, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Service. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Grotek, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination shall survive.

12. Governing Law

These Terms are governed by the laws of the State of New York, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of New York, NY.

13. Changes to Terms

We may revise these Terms at any time. Material changes will be communicated via in-app notification or email at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance.
